Terms of Service.
1 Provider and scope
These Terms of Service govern the website, documentation, hosted console, APIs, hosted agent tools and cloud services supplied by little big brain UG (haftungsbeschränkt), Löwestraße 13, 10249 Berlin, Germany, registered with Amtsgericht Charlottenburg (Berlin) under HRB 289555 B, VAT ID DE464603741. Our managing director is Rino Montiel. Contact us at [email protected].
“You” means the person or organization entering the service contract. If you act for an organization, you must have authority to bind it. A consumer is an individual acting mainly outside their trade, business or profession. The consumer provisions below apply where relevant.
Your accepted plan or order describes the service you purchase. An individually negotiated agreement prevails over these Terms for the matters it covers. A data processing agreement prevails for processing customer personal data. Our Privacy Policy explains our own handling of personal data; accepting these Terms does not provide consent for optional analytics or marketing.
2 Contract and accounts
You must be at least 18 years old to enter a service contract. Provide accurate account and billing information and keep it current.
We make these Terms available before you submit an account or subscription order. Your order is an offer to enter the contract. The contract begins when we confirm acceptance or activate the requested service. A paid plan requires settlement of its first invoice as described at checkout; saving a card alone does not activate it.
Account administrators control membership, roles and connected applications. You are responsible for the users and agents you authorize and the instructions they give on your behalf, subject to applicable law. Protect passwords, API keys, session credentials and integration secrets, and tell us promptly about suspected unauthorized access. We remain responsible for the security obligations we undertake.
3 The service and its limits
little big brain stores linked records and documents, maintains indexes and embeddings, and provides search, graph queries, version history and selected managed AI and integration features. Available features, hosting arrangements, support, capacity and limits depend on the accepted plan.
Free is a separate plan with its stated storage and request limits. It does not become paid automatically. Upgrading requires an explicit order. Creating extra accounts or credentials to evade a plan limit is prohibited.
Queries, imports and index builds may be included in a paid storage plan, while still subject to request size, execution time, model budgets, rate limits and capacity controls. A limit can reject, defer or pause work. A spending limit pauses designated work after recorded usage reaches it; continuing storage, running work and delayed metering can make the final invoice higher than that limit.
We maintain the service with reasonable care and provide updates necessary to meet our contractual and legal obligations. Unless a separate agreement provides an availability or support commitment, no numerical uptime guarantee or guaranteed response time applies. Keep copies of important source data and use the available export tools. This does not limit our own duties concerning data integrity or agreed backups.
An experimental feature is identified as such. Its description explains its intended use and limits; the label does not waive mandatory consumer remedies or excuse failure to supply the service we agreed.
4 Prices and billing
The prices, currency, tax treatment, billing period and usage rules shown when you accept your plan form part of the contract. A later change to the public pricing page does not itself change an existing subscription. We retain your accepted pricing terms until a validly agreed change.
For current standard paid plans, the monthly minimum is paid in advance and applied against that period's usage. Usage above the minimum is invoiced after the period closes. Unused prepaid balance expires at renewal, except where a refund is required by law or these Terms. Credits apply according to the grant shown in your account, including its expiry and any restrictions.
Storage charges include the data, indexes and retained history covered by your plan, across the relevant environments. Deleting a record may not immediately reduce retained storage because history and physical cleanup have separate lifecycles. The Billing view distinguishes estimates from finalized invoices.
We use Stripe and Metronome for payment and usage billing. Authorizing a recurring payment allows collection of the amounts due under your accepted plan. Update payment information when necessary. A failed renewal currently has a seven-day payment recovery period; afterward, paid access may be restricted. We notify you of payment issues and restore paid access when the required payment is settled. Data deletion remains available in each payment state.
Tell us about a disputed invoice promptly so we can investigate. No short notification deadline removes your statutory rights. You retain legally available rights to withhold payment, reduce a charge or set off a claim.
5 Customer data and intellectual property
“Customer Data” means the content, records, documents, schemas, queries and other information you or your authorized users submit or import. As between you and us, you retain your rights in Customer Data.
You grant us only the rights needed to host, copy, transmit, index, transform and process Customer Data to provide the service, follow your instructions, maintain its security, and meet legal obligations. This includes creating embeddings and using the model services required for a feature you request. It is not a license to sell your content or publish it for our own purposes.
You must have the rights and lawful basis necessary to supply the data and authorize the relevant processing. Where we process personal data on an organization's behalf, an appropriate data processing agreement must be in place. Your instructions must comply with applicable data protection law.
We retain rights in our software, service design, documentation and other materials we supply. Your service contract grants access to the agreed functionality, without transferring ownership of that technology. Any separately supplied open source component is governed by its own license.
You may use generated outputs subject to applicable law and third-party rights. We do not claim ownership of your underlying data. Outputs may resemble other outputs and may not qualify for exclusive intellectual property rights; these Terms do not guarantee otherwise.
6 AI features and integrations
Managed models may receive relevant Customer Data, including selected text, questions, context, schema descriptions, example values, query rows and model inputs or outputs for quality checks. The Privacy Policy, Models view and feature documentation describe those flows. Authorize a feature only for information you are entitled to send to its providers.
We do not use Customer Data to train general purpose models shared with other customers without a separate explicit agreement. A custom model you ask us to train uses the data you select for that task. This does not imply that every external model provider has zero retention; applicable processing agreements and disclosed provider arrangements govern that processing.
AI answers, rankings and ontology suggestions can be incomplete or wrong. Citations and validation checks help review a result but do not guarantee its truth. Review outputs, generated queries and suggested changes before relying on them. Use appropriate human oversight and safeguards where an error could affect people's rights, health, safety or finances.
Connecting a source or agent authorizes the permissions you select. Review them before connecting. An agent with write permission can change or delete data within its authority. You remain responsible for supervising that agent. External services are also subject to their own arrangements with you.
Disconnecting an integration stops future access through it. It does not automatically remove records already imported, erase graph history or retract copies an external agent has received. Use the relevant deletion procedures or contact us for help.
7 Acceptable use
Use the service lawfully and within the accepted plan. You must not:
Submit unlawful content, infringe another person's rights or process personal data without a lawful basis.
Access another customer's data or attempt to obtain credentials or permissions you are not authorized to hold.
Introduce malicious code, interfere with service operation or conduct intrusive security testing without authorization.
Bypass authentication, safety controls, usage limits or payment requirements.
Misrepresent who you are or the authority under which you act.
Use the service for prohibited activity under applicable sanctions or export restrictions.
You may report vulnerabilities and unlawful content to [email protected]. We assess reports and respond proportionately. We do not prohibit lawful interoperability, independent development or the use of public documentation.
8 Confidentiality and data protection
We treat non-public Customer Data and business information supplied in confidence as confidential. Each party may disclose the other's confidential information only to people or providers who need it for the contract and are bound by appropriate confidentiality duties, or as required by law.
This obligation does not cover information independently developed, lawfully obtained without a confidentiality restriction, or already public through no breach. Where legally permitted, a party required to disclose confidential information informs the other party and limits the disclosure to what is required.
For customer personal data, the data processing agreement must set out instructions, security measures, subprocessors, assistance, international transfers and deletion or return. These Terms and the public Privacy Policy do not replace that agreement.
9 Cancellation and termination
Free access continues until you or we end it. You may cancel a standard monthly paid subscription at any time, effective at the end of the current paid billing period. There is no annual commitment unless you separately agree to one. Email [email protected] or use the available cancellation control. A cancellation does not require you to meet the Free plan's capacity limits.
A request to switch to Free takes effect at the end of the paid period when the workspace fits that plan. If it does not fit, you may export and reduce your data, arrange another plan, or cancel the paid service. A final invoice may include usage already incurred.
We may ordinarily end a standard subscription with at least 30 days' notice. If we end a paid service before the period you have paid for finishes, we refund the unused portion. An individually agreed fixed term governs where applicable.
Either party may terminate for a serious breach after giving reasonable notice and an opportunity to remedy it, unless immediate termination is justified by law or the seriousness of the circumstances. We may restrict only the affected access when needed to address abuse, a security risk, unlawful activity or non-payment. We explain the reason where legally permitted, allow you to contest an error, and restore access when the reason is resolved.
Mandatory rights to terminate, withdraw, receive a refund or obtain another remedy remain available.
10 Export switching and deletion
You can retrieve your content through the supported APIs and export functions while your service is active. Contact [email protected] for help switching to another provider or to your own infrastructure.
Where the EU Data Act applies, we cooperate in good faith and provide the assistance and information required for switching. The transition normally takes no more than 30 calendar days after the applicable notice period. We explain any legally permitted extension, continue the contracted service during the transition, and provide at least 30 calendar days after it for retrieval of exportable data and digital assets. Mandatory shorter notice rights or other switching rights prevail. We do not charge a separate switching or data egress fee.
The export includes your stored content and the customer assets and metadata required by applicable law, in supported machine-readable formats. It does not require disclosure of our protected software or trade secrets, provided an exclusion does not obstruct the rights the law gives you. Tell us whether you want a provider switch, an export or immediate erasure before closing a workspace.
After the agreed retrieval period, we delete or return Customer Data according to your instructions, the data processing agreement and applicable law. An express request for immediate graph or workspace deletion starts that deletion process instead; do not request deletion before preserving the information you still need.
Graph deletion removes access first and background jobs reclaim physical objects. Historical versions, model records, account records, invoices and provider-held information have separate lifecycles. We do not describe an account closure as instant erasure from every system. The Privacy Policy explains retention and rights requests.
11 Service changes and changes to these Terms
We may make changes needed to maintain security, meet law, adapt to changes in external systems or improve technical operation. We keep the service consistent with the agreed purpose and notify you of material effects.
For consumers, changes beyond those needed to maintain conformity are made only for a valid reason stated above, without additional cost, and with clear notice. Where a change more than slightly affects access or use, we provide advance information on a durable medium and the termination rights required by law, including the applicable 30-day right to terminate unless the unchanged service remains available without additional cost.
We may propose revised contract terms and explain the change before asking you to accept it. Publishing revised Terms, your silence or ordinary continued use does not alone amount to acceptance of a material change to an existing contract. Price changes require a valid agreement. If we cannot continue on the existing terms, any termination follows section 9 and applicable law.
12 Defects and liability
Tell us about a service defect so we can investigate and provide the legally required remedy. Consumers retain all mandatory rights relating to the supply and conformity of digital services, including correction, price reduction, termination and damages where applicable.
We are liable without contractual limitation for intentional acts, gross negligence, injury to life, body or health, fraudulent concealment, an expressly assumed guarantee, and other liability that the law does not permit us to exclude or limit, including applicable product liability and data protection liability.
For other damage caused by ordinary negligence, we are liable where we breach an essential contractual duty on which you can normally rely for proper performance. In that case, liability is limited to damage foreseeable when the contract was entered into and typical of that contract. Other liability for ordinary negligence is excluded only to the extent permitted by law.
The same limits apply to our representatives and persons performing obligations on our behalf. These provisions do not remove a mandatory consumer remedy or another non-excludable right.
13 Governing law and final provisions
German law governs the contract. If you are a consumer, this choice does not deprive you of mandatory protection under the law of the country of your habitual residence where that protection applies.
Berlin is the agreed place of jurisdiction only if you are a merchant, a legal entity under public law or a special fund under public law, or another applicable legal basis permits that agreement. Mandatory jurisdiction rules and consumer rights to bring or defend proceedings in the competent court remain unaffected.
You may send contractual notices by email to [email protected]. We send notices to the contact address recorded for your account. If a provision is ineffective, the remaining contract continues and the applicable statutory rules replace that provision. Individually agreed terms retain their legal priority.
14 Consumer withdrawal notice
If you are a consumer entering a contract at a distance and have a right of withdrawal, the following notice applies.
You may withdraw from the contract within 14 days without giving a reason. The period is 14 days from the date the contract is concluded.
To exercise the right, inform little big brain UG (haftungsbeschränkt), Löwestraße 13, 10249 Berlin, Germany, email [email protected], of your decision by an unequivocal statement, such as an email or a letter. You may use the form below, but it is optional. Sending the notice before the withdrawal period expires is sufficient.
If you withdraw, we reimburse payments received from you without undue delay and no later than 14 days after we are informed. We use the same payment method unless you expressly agree otherwise, and charge no reimbursement fee.
If you expressly request that the service begin during the withdrawal period, any amount payable for service supplied before your withdrawal is limited to the proportionate amount permitted by law and depends on the required advance information and request. Starting a continuing cloud service does not by itself extinguish your withdrawal right. The right expires through full performance only where the applicable legal conditions, including your prior express consent and acknowledgment, are satisfied.
